These terms outline the guidelines for using our website and engaging with the information, content, and features we provide.

These Terms of Service (“Terms”) govern your use of www.theperfectparty.com (the “Site”), operated by The Perfect Party, Inc., a California corporation (“we,” “our,” or “us”).
These Terms govern the Site only. They do not govern event design, planning, or production services, which are governed exclusively by a separate written proposal and services agreement signed by both parties. If anything here conflicts with a signed services agreement, that agreement controls as to the services.
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Everything on the Site is provided for general information. Nothing on the Site is an offer. We do not publish prices, and any figure you see, including budget ranges in our inquiry form, is illustrative and is not a quote or a commitment.
Submitting an inquiry does not engage us. Sending the form, emailing us, or speaking with us creates no contract, no reservation of a date, and no obligation on either side. We are engaged only when both parties sign a written services agreement.
No confidentiality. Information you send through the Site or by unsolicited email is not confidential. If you need to share something confidential before an engagement, ask us for a confidentiality agreement first.
You must be at least 18 years old to use the Site or submit an inquiry. If you are inquiring for a company or organization, you represent that you are authorized to do so.
You keep ownership of what you send us, and you give us permission to use it to evaluate and respond to your inquiry and prepare a proposal. You represent that you have the right to send us the information you submit, including information about other people.
We produce events for many clients and develop concepts continuously. If you send us an unsolicited idea or suggestion, we may use it without restriction, obligation, or compensation. This does not apply to creative work developed for you under a signed services agreement.
You agree not to use the Site for any unlawful purpose; copy, republish, or exploit Site content except as permitted below; scrape or harvest content or contact information by automated means, except standard search-engine indexing; introduce malicious code or interfere with the Site or its infrastructure; submit false information or impersonate anyone; or use our name, logo, or event photography to suggest an association that does not exist.
All content on the Site, including text, photographs, video, graphics, and design, is owned by us or our licensors and is protected by copyright and other laws. “The Perfect Party” and our logo are our marks. You may view the Site and print individual pages for your own personal, non-commercial reference. You may not otherwise reproduce, distribute, or modify Site content without our prior written permission.
Third-party marks. The Site displays the names and logos of companies and organizations for whom we have produced events. Those marks belong to their respective owners. Their appearance identifies past work and does not indicate sponsorship, endorsement, or affiliation.
The Site links to third-party websites and social platforms. We do not control them, do not endorse them, and are not responsible for their content or practices.
Our Privacy Policy at www.theperfectparty.com/privacy-policy describes how we handle personal information collected through the Site. It is a notice about our practices, and your use of the Site does not by itself constitute consent to any processing that requires separate consent under applicable law.
We may change, suspend, or discontinue the Site at any time. We do not promise it will be available without interruption or free of errors.
Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that information on the Site is complete, current, or accurate. Descriptions of past events reflect projects delivered under specific circumstances and are not a representation about any future event.
Nothing in these Terms limits or excludes any warranty or right that cannot be limited or excluded under applicable law, including under the California Consumers Legal Remedies Act.
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business interruption, arising out of or relating to the Site. Our total liability arising out of or relating to the Site will not exceed one hundred dollars ($100).
This Section does not limit liability for: fraud, fraudulent misrepresentation, or willful injury to person or property; gross negligence or willful misconduct; death or personal injury; violation of law, whether willful or negligent; any liability that cannot be limited or excluded under applicable law, including under California Civil Code § 1668 and the Consumers Legal Remedies Act; or our obligations under a signed services agreement, which are governed by that agreement and not by this Section.
These limits reflect the allocation of risk between us, are an essential basis of the bargain, and apply even if a limited remedy fails of its essential purpose. They apply only to the Site.
You will defend, indemnify, and hold us harmless from any third-party claim, and resulting damages, losses, liabilities, settlements, and reasonable attorneys’ fees, to the extent arising out of your breach of these Terms, your unlawful use of the Site, or your submission of information in violation of Section 4. This does not apply to the extent a claim arises from our own negligence, willful misconduct, or breach. We will give you prompt written notice, allow you to control the defense with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle any claim that imposes an obligation on us, requires an admission by us, or fails to release us fully, without our prior written consent.
We may restrict access to the Site if we reasonably believe you have violated these Terms or are using the Site in a way that harms the Site, us, or others. Sections 4, 6, 10, 11, 12, and 14 survive.
Governing law and venue. These Terms are governed by California law, without regard to conflict-of-laws
principles. Any action must be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to jurisdiction and venue there. Nothing here limits your right to bring a qualifying claim in small claims court, or any right under California law that cannot be waived.
Changes. We may update these Terms. If we make a material change, we will post the updated Terms here, change the Effective Date, and post a notice on the homepage for at least 30 days before the change takes effect. Changes apply prospectively and do not modify any signed services agreement.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the rest stays in force.
Other. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a sale of our business. These Terms and the Privacy Policy are the entire agreement regarding the Site and supersede any earlier version, and do not supersede any signed services agreement. You consent to receive communications from us electronically, consistent with California Civil Code § 1633.1 et seq. Headings are for convenience only.
Accessibility. If you encounter a barrier using the Site, contact us and we will work with you to provide the information or service you need in an accessible way.
